These Terms & Conditions of Website Use govern access to and use of the MatraMeds website during its current pre-launch stage.
Important
The website is intended for general informational purposes only and does not replace professional medical advice or emergency care.
1.Acceptance
These Terms & Conditions of Website Use (“Terms”) govern your access to and use of the MatraMeds website, including its public pages, gated Healthcare Professional (“HCP”) sections, forms, downloads, and related digital content (collectively, the “Website”).
By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you should not access or use the Website.
2.About the Website
The Website is owned and operated by MatraMeds Pharmaceuticals Pvt Ltd (“MatraMeds”, “we”, “us”, “our”).
The Website is intended to provide:
- Corporate information about MatraMeds;
- Disease-awareness and educational information;
- Information about MatraMeds’ therapy focus areas;
- Contact, medical information, and safety-reporting routes;
- Gated access to certain HCP-only materials; and
- Information about future patient-support and digital-support offerings that are under development.
2.1. Pre-Launch Status
MatraMeds is at a pre-launch stage. As of the Effective Date of these Terms:
- MatraMeds has no generic pharmaceutical products yet launched under its brand in India;
- MatraMeds intends to market generic pharmaceutical formulations under its own brand, manufactured by a Contract Development and Manufacturing Organisation (CDMO) under appropriate manufacturing licences;
- MatraMeds has no companion application, patient support programme, or operational HCP portal in live use;
- All product, app, and platform descriptions on this Website refer to pipeline activity and future direction only.
These Terms will be revised and re-issued when MatraMeds' products, applications, or services are launched. Continued use of the Website after such revision constitutes acceptance of the revised Terms.
2.2. Intended Audience and Geographical Scope
The Website is intended for residents of India and for individuals accessing the Website from within the territory of India. The content is prepared in accordance with the laws, regulations, and medical practice standards applicable in India.
If you are accessing the Website from outside India, please be aware that information about therapy areas and pipeline activity is based on Indian regulatory framing and may differ from approvals and practice in your jurisdiction. These Terms are governed by Indian law as set out in Section 16.
MatraMeds does not direct the Website to any individual outside India and does not warrant that the content is appropriate or available for use in any other jurisdiction.
3.Not Medical Advice
The Website is provided for general informational purposes only. Nothing on the Website constitutes medical advice, diagnosis, treatment advice, or a substitute for consultation with a qualified healthcare professional.
You should always seek advice from an appropriately qualified healthcare professional regarding any medical condition, treatment decision, or concern.
The Website is not intended for emergency use. In an emergency, contact a doctor, hospital, or emergency service immediately. In India, the national emergency number is 112; the ambulance number is 108.
4.Public Content and HCP-Only Content
Certain parts of the Website are intended for public access. Other sections, including but not limited to Medical Information and HCP Access (collectively, the “Gated Sections”), are intended only for Healthcare Professionals as defined in Section 4.1.
4.1. Definition of Healthcare Professional
For the purposes of this Website, a "Healthcare Professional" or "HCP" means an individual who is, at the date of access:
- A Registered Medical Practitioner registered with a State Medical Council or with the National Medical Commission under the National Medical Commission Act 2019;
- A registered Dental Practitioner registered under the Dentists Act 1948;
- A registered Pharmacist registered under the Pharmacy Act 1948;
- a registered Nurse registered with a State Nursing Council under the Indian Nursing Council Act 1947; or
- A healthcare administrator, hospital pharmacist, or formulary committee member acting in a professional capacity within a recognised healthcare institution in India.
HCP-only content is not intended for patients, caregivers, students (unless under faculty-supervised access), journalists, or members of the public.
4.2. Self-Declaration at Pre-Launch Stage
At the pre-launch stage, access to Gated Sections is granted on the basis of self-declaration only. Formal HCP verification is not yet in place. MatraMeds may, however, maintain basic technical and access logs for security, misuse prevention, and Website administration. Formal HCP verification will be implemented before product-specific professional materials are published in the Gated Sections.
By confirming HCP status to access a gated section, you represent that:
- You are a qualified healthcare professional as defined in Section 4.1;
- The information you provide is true and accurate; and
- You will use the HCP content only for lawful and professional purposes.
MatraMeds reserves the right to restrict, suspend, or terminate access to HCP-only content at any time. Misrepresentation of professional status is a violation of these Terms and may also engage professional and legal consequences under applicable Indian law.
5.Prescription Medicines and Promotional Restrictions
The Website is designed to separate public information from HCP-only content. Public pages are intended to focus on corporate information, disease awareness, support pathways, and safety / contact routes.
5.1. Compliance with UCPMP 2024
MatraMeds operates in accordance with the Uniform Code for Pharmaceutical Marketing Practices 2024 ("UCPMP 2024") notified by the Department of Pharmaceuticals, Government of India, on 12 March 2024. In particular:
- No medicine is, or will be, promoted on this Website prior to the receipt of all necessary regulatory approvals applicable to the relevant product, its manufacturing model, and its intended claims under Indian law, including, where applicable, licences, permissions, or approvals under the Drugs and Cosmetics Act, 1940, the Drugs Rules, 1945, the New Drugs and Clinical Trials Rules, 2019, and any other applicable regulatory framework;
- No comparative claim is made;
- No misleading, exaggerated, or unsubstantiated claim is made about any product, pipeline asset, or service;
- Pipeline descriptions are corporate and informational only and do not amount to promotion, availability, or approval;
- All public-facing content is reviewed by MatraMeds' Medical, Regulatory, and Legal functions before publication;
- MatraMeds maintains internal processes intended to support compliance with UCPMP 2024, and will make such declarations or disclosures as may be applicable to it under the Code and its administrative requirements.
5.2. Compliance with the Drugs and Magic Remedies Act 1954
MatraMeds does not publish on its public-facing pages any advertisement of a drug for the treatment of conditions specified in the Schedule to the Drugs and Magic Remedies (Objectionable Advertisements) Act 1954, and does not publish any misleading advertisement of any drug, in compliance with Sections 3 and 4 of that Act.
5.3. Manufacturing and Marketing Structure
MatraMeds intends to operate as a brand owner and marketer for its generic pharmaceutical portfolio. Physical manufacturing will be undertaken by one or more CDMOs holding the required manufacturing licences under the Drugs and Cosmetics Rules 1945 or such other applicable licences, permissions, or approvals as may be required by law.
Product labelling will identify both the marketer (MatraMeds Pharmaceuticals Pvt Ltd) and the manufacturer (the CDMO) in accordance with Rule 96 of the Drugs and Cosmetics Rules 1945.
MatraMeds will maintain appropriate systems and contractual arrangements for:
- Medical information, safety monitoring, and adverse event handling in accordance with applicable law and guidance;
- Product quality complaint handling and trending;
- Post-market surveillance;
- Promotional and marketing communications in accordance with UCPMP 2024;
- Labelling and prescribing-information content as approved by the relevant authority;
- Recall management, where required.
6.Pipeline Descriptions
The Website describes MatraMeds' therapeutic focus areas and future-direction work, including planned therapies, planned patient-support features, and a planned HCP portal. None of these is currently operational. Specifically:
- No generic pharmaceutical product has yet been launched under the MatraMeds brand. CDMO arrangements, manufacturing licences, and product launch readiness are being progressed at the time of this Notice;
- No companion application, patient support service, or digital-support feature is currently available to any user;
- No HCP portal is currently operational; the HCP self-declaration page is a placeholder pending formal launch;
- No real-world data, real-world evidence, or analytics services are currently being offered.
Descriptions of pipeline activity should not be read as a representation that any such product, application, or service is available, approved, or suitable for use. When any of these moves from pipeline to launch, MatraMeds will issue updated Terms and, where required, separate service-specific terms.
Any treatment, prescribing, or clinical decision remains the responsibility of a qualified healthcare professional.
Manufacturing GMP compliance will be addressed through a written Service/Quality Agreement between MatraMeds and the contracted CDMO, together with applicable legal and regulatory obligations of the relevant parties.
7.User Obligations
You agree not to:
- Use the Website for any unlawful, misleading, fraudulent, or unauthorised purpose;
- Copy, scrape, reproduce, republish, distribute, modify, or exploit the Website content except as permitted by law or with our prior written consent;
- Attempt to gain unauthorised access to any part of the Website, server, or connected system;
- Upload or transmit malicious code, viruses, or disruptive material;
- Submit false, misleading, defamatory, obscene, or unlawful information through forms or communication features;
- Misrepresent your professional identity, including falsely claiming HCP status.
8.Intellectual Property
Unless otherwise stated, all content on the Website, including text, layout, graphics, icons, videos, design elements, trademarks, logos, and downloadable materials, is owned by or licensed to MatraMeds and is protected under applicable intellectual property laws of India, including the Copyright Act 1957 and the Trade Marks Act 1999.
No rights are granted to you except the limited right to access and use the Website for lawful personal, informational, or professional purposes in accordance with these Terms.
9.Third-Party Links and Content
The Website may contain links to third-party websites, services, videos, maps, or social-media content. These are provided for convenience only.
MatraMeds does not control and is not responsible for:
- Third-party website content,
- Third-party privacy or cookie practices,
- Third-party availability, security, or performance, or
- Any reliance you place on third-party materials
Access to third-party resources is at your own risk.
9.1. Specific Third-Party Services Currently in Use
At the pre-launch stage, the Website uses the following third-party services: Google Fonts (for typography). This service may transmit your IP address to Google as part of font delivery. The Cookie Notice provides further detail. Where additional third-party services are introduced, the Cookie Notice and, where relevant, the Privacy Notice will be updated.
10.Forms, Enquiries, and Submissions
The Website currently offers the following intake routes:
- A general enquiry email route on the Contact page;
- A medical-information request email route (gated to self-declared HCPs);
- A career enquiry route by email.
Where you submit a query, request, report, or other information through the Website contact page mentioned routes, you agree that:
- the information provided by you is accurate and not misleading;
- you have the authority to provide such information;
- you will not provide information that infringes the rights of others; and
- the submission does not create a healthcare-provider relationship, employment relationship, or contractual commitment unless separately agreed in writing.
10.1. Pre-Launch Limitations on Webiste Contact Routes
Because MatraMeds has not yet launched any generic pharmaceutical product under its brand, no product-specific pharmacovigilance casework is currently in operation. When MatraMeds' first generic product is launched, MatraMeds will implement appropriate safety-monitoring, medical-information, and product-quality processes in accordance with applicable law, guidance, contractual arrangements, and internal quality systems.
Safety, quality, or medical-information emails and related submissions will be retained in accordance with the Privacy Notice and routed to the relevant MatraMeds function for review.
11.Privacy
Your use of the Website is also governed by the MatraMeds Privacy Policy and Cookie Notice, which explain how we collect, use, store, and protect your personal data and how cookies and similar technologies are used.
12.Disclaimer of Warranties
The Website is provided on an “as available” and “as is” basis, to the fullest extent permitted by applicable law.
While MatraMeds seeks to keep information accurate and current, we do not warrant that:
- the Website will always be available, uninterrupted, secure, or error-free;
- all content is complete, current, or free from inaccuracies;
- downloads or linked content will be free from viruses or harmful code; or
- the Website will meet your specific requirements.
13.Limitation of Liability
To the fullest extent permitted by law, MatraMeds shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive loss or damage arising out of or in connection with:
- your access to or use of the Website;
- inability to access or use the Website;
- reliance on Website content;
- errors, omissions, interruptions, or delays;
- third-party links, services, or content; or
- unauthorised access to or alteration of transmissions or data not caused by MatraMeds’ wilful misconduct.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
14.Suspension and Termination
MatraMeds may restrict, suspend, or terminate access to all or part of the Website, including any gated section, at any time and without notice where reasonably necessary for:
- maintenance or security;
- legal or regulatory compliance;
- misuse or suspected misuse;
- false HCP declarations; or
- harmful or unlawful conduct.
15.Changes to the Website and Terms
MatraMeds may update or modify the Website and these Terms from time to time. The latest version will be posted on the Website with the updated effective date.
Your continued use of the Website after such update constitutes acceptance of the revised Terms.
15.1. Re-Issue at Launch
These Terms are calibrated to MatraMeds' pre-launch stage. When MatraMeds launches one or more therapeutic products, the companion application, or the HCP portal, these Terms will be re-issued together with any service-specific terms applicable to the launched offering. Material changes will be brought to users' attention before they take effect, where reasonably practicable.
16.Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Subject to applicable law, courts at Warangal, India shall have exclusive jurisdiction over disputes arising from or in connection with these Terms.
17.Compliance Concerns
17.1.
MatraMeds maintains a compliance and ethics function with named responsibility for receiving and investigating concerns about:
- Promotional or marketing conduct (UCPMP 2024 matters);
- Quality and safety matters (Drugs and Cosmetics Act, Schedule Y, CDSCO matters);
- Privacy and data protection (DPDP Act and Rules matters);
- Anti-bribery, corruption, and ethical conduct (including NMC Regulations 2023);
- Any other suspected breach of law, regulation, or MatraMeds' Code of Conduct.
